ClipTok ("ClipTok", "we", "us") is an AI-powered service that takes long-form video uploads (Twitch VODs, stream highlights, podcasts, gameplay captures, etc.) and produces shorter vertical-format clips ("Output Clips") intended for platforms like TikTok, Instagram Reels, and YouTube Shorts. By creating an account or using the service at cliptok.ai (the "Service") you agree to these Terms.

You must provide a valid email and keep your password confidential. You are responsible for all activity under your account. You must be at least 13 years old, and at least 18 (or the age of majority in your jurisdiction) to subscribe to a paid plan. We may suspend or terminate accounts that violate these Terms, abuse the Service, or attempt to circumvent credit limits.

The Service runs on a credit system. 1 credit equals 1 minute of uploaded source footage (rounded up to the nearest minute, with a minimum of 1 credit per upload). For example:

• A 47-second clip costs 1 credit.
• A 5-minute VOD costs 5 credits.
• A 9-minute, 30-second highlight costs 10 credits (paid plans support up to 10-minute uploads; free plans cap at 5 minutes).

Each upload may produce multiple Output Clips (typically 3–5) selected by the AI from the source. The credit cost is based on source duration, not the number of Output Clips produced.

Paid plans ("Starter", "Pro") include a monthly credit allowance that resets on each successful billing cycle. Unused credits do not roll over and have no cash value. Credits cannot be transferred between accounts, sold, or refunded for cash.

Subscriptions are billed monthly in advance through PayPal. By subscribing you authorize PayPal to charge your payment method on a recurring basis at the price displayed at checkout, until cancelled.

You can cancel at any time from your billing page or from your PayPal account. After cancellation, you keep access to your current plan's benefits until the end of the current billing period; you will not be charged again. We do not offer prorated refunds for partial months, except where required by law. If you believe you were charged in error, contact us within 14 days and we will review in good faith.

We may change plan pricing or credit allowances with at least 30 days' notice (email or in-app). Changes apply to your next billing cycle; if you don't agree, cancel before the next renewal.

The Free tier exists for evaluation. Free uploads may carry a ClipTok watermark, be rendered at standard quality, be processed at lower priority, and be deleted from our storage after a shorter retention period (currently 7 days). We may rate-limit or adjust the Free tier at any time.

You retain all ownership of the videos you upload and of the Output Clips ClipTok generates from them. You grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transcode, transcribe, and analyze your uploads solely for the purpose of providing the Service to you (including running them through our AI pipeline and the third-party services listed in Section 9).

You represent and warrant that you have all necessary rights to the content you upload, including any music, voices, gameplay footage, brand marks, or third-party material contained in it. You are solely responsible for ensuring your uploads, the Output Clips, and the way you publish them comply with the rules of the platforms you post to (TikTok, Instagram, YouTube, Twitch, etc.) and with applicable copyright, trademark, and publicity law.

You may not use ClipTok to upload, generate, or distribute content that:

• infringes intellectual-property or publicity rights you do not own or have licensed;
• depicts or sexualizes minors, or contains non-consensual intimate imagery;
• promotes violence against, or harassment of, a person or group;
• contains malware, attempts to exploit the Service, or scrapes the Service in bulk;
• violates applicable law where you live or where the content is published.

We may remove content, suspend processing, or terminate your account if we believe in good faith that you have violated this section. Repeat copyright infringers will have their accounts terminated.

Uploaded source videos and rendered Output Clips are stored on our servers only as long as needed to deliver the Service to you. Default retention periods are shown on each plan and may be changed with notice. You can delete a job and its associated files from your dashboard at any time; deletions are processed promptly but may persist in encrypted backups for up to 30 days.

To deliver the Service we send portions of your content to the following processors:

• Deepgram— speech-to-text transcription of audio tracks.
• Google Gemini— selecting clip-worthy moments and generating titles and hashtag suggestions.
• PayPal— subscription billing. ClipTok never sees or stores your full payment-card details.
• Vultr— hosting infrastructure.

Use of the Service is also subject to those providers' terms. We do not sell your personal data.

Output Clips are generated by automated systems. We do not guarantee that any Output Clip will be accurate, appropriate, on-brand, monetizable, or successful on any platform. Titles and hashtags generated by the Service may contain errors. You are responsible for reviewing Output Clips before publishing them anywhere.

We aim for high availability but we do not guarantee uptime. The Service is provided "as is" and "as available". We may modify, suspend, or discontinue features at any time. Scheduled maintenance and unscheduled outages can happen; in those cases your monthly credit allowance is not extended.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPTOK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPTOK'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$50. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.

You agree to defend, indemnify, and hold harmless ClipTok and its operators from any claim, loss, or expense (including reasonable legal fees) arising from (a) your uploads or Output Clips, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

You may stop using the Service at any time and delete your account from the billing page (or by emailing us). We may suspend or terminate your access if you breach these Terms or if continued service exposes us to legal risk. Sections 6, 10, 12, 13, 14, and 16 survive termination.

These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict-of-law rules. You and ClipTok agree to first attempt to resolve any dispute informally by contacting us. If unresolved after 30 days, the dispute will be brought in the state or federal courts located in Florida, and both parties consent to personal jurisdiction there.

We may update these Terms from time to time. If we make material changes we will post the new Terms here and update the "Effective" date above; for paid users we will also notify by email at least 30 days before the change takes effect. Continued use of the Service after the effective date means you accept the updated Terms.
